These Terms of Service govern your use of the Your Website Made Simple website and describe the general terms that apply to our website-design and related services. Every paid project should also be governed by a written proposal, order form, statement of work or project agreement. If a project agreement conflicts with these website terms, the project agreement controls for that project.
Services
Your Website Made Simple provides website design, development, setup, integrations, deployment and related digital services. The exact scope of each project, including pages, features, integrations, content responsibilities, revisions, launch requirements and pricing, is confirmed in writing before work begins.
Features shown on this website are examples of capabilities and are not automatically included in every package. Certain functions may require third-party accounts, subscriptions, approvals, credentials or fees.
Pricing, Quotes and Payment
Prices displayed on this website are starting prices unless expressly stated otherwise. Final pricing depends on the approved scope, requested functionality, integrations and project requirements.
Deposits, milestone payments, final balances, taxes and payment deadlines are established in the applicable project agreement or invoice. Work may be paused for overdue amounts. Client remains responsible for authorized third-party charges and services purchased for the project.
Estimated Production Timelines
Typical target production times are approximately 5–7 business days for Basic projects, 10–15 business days for Standard projects, and 15–25 business days for Premium projects. Custom projects receive a project-specific estimate.
These are estimates, not guaranteed completion dates. The production period begins only after the project is approved, any required deposit is received, and all reasonably requested content, branding, photos, files, credentials, access and information have been provided.
Client delays, delayed approvals, additional revisions, scope changes, third-party outages or approvals, domain transfers, technical dependencies, force majeure events, or circumstances outside our reasonable control may extend the timeline. When a client response or deliverable is outstanding, the project timeline is considered paused until the required item is received.
Client Responsibilities
Client is responsible for providing accurate information, timely feedback, required materials and appropriate access to accounts or services needed for the project. Client represents that it has the right to use all text, logos, images, trademarks, videos and other materials supplied to us.
Client is responsible for reviewing the website before launch and confirming that business information, pricing, claims, policies, contact information and other client-provided content are accurate and lawful.
Revisions and Scope Changes
Included revisions, if any, are defined in the applicable project agreement. Requests that materially change the approved design, functionality, integrations or content structure may be treated as additional scope and may require additional fees and time.
A request is not considered part of the original scope merely because it is technically possible to add it. Additional work begins only after any revised scope, pricing and schedule are accepted when required.
Third-Party Services
Domains, hosting, payment processing, booking platforms, email services, analytics, databases, forms, automation tools, social platforms and other third-party services are governed by their own terms, pricing, availability and policies. We do not control those providers and are not responsible for their outages, policy changes, price changes, account suspensions, security incidents or discontinued features.
Where recurring third-party charges apply, the client is responsible for maintaining the account and payment method unless a written agreement states otherwise.
Ownership and Licenses
Ownership and transfer of custom deliverables are defined in the project agreement. Unless otherwise agreed in writing, third-party software, open-source components, stock assets, fonts, platforms, plugins and services remain subject to their respective licenses and are not transferred as client-owned intellectual property.
Client retains ownership of client-provided trademarks, logos and original content. We retain ownership of our pre-existing tools, reusable components, know-how, processes, templates and systems unless expressly transferred in writing.
Portfolio and Demonstration Use
Unless the project agreement says otherwise, we may identify a completed public-facing website as work we created and may display screenshots or links in our portfolio. Confidential information and non-public client data will not be intentionally disclosed for portfolio purposes.
SEO, Marketing and Business Results
We may implement technical and on-page SEO best practices where included, but we do not guarantee search-engine rankings, traffic, leads, sales, revenue, advertising performance or other business results. Search engines and advertising platforms are controlled by third parties and may change their systems at any time.
Website Availability and Security
We use commercially reasonable practices when building and deploying websites, but no website, hosting platform or internet service can be guaranteed to operate without interruption, defects or security risk. Unless an ongoing maintenance agreement specifically provides otherwise, post-launch monitoring, updates, backups and security maintenance are not automatically included indefinitely.
Acceptable Use
You may not use our website or services to violate law, infringe intellectual-property rights, distribute malware, attempt unauthorized access, interfere with systems, submit fraudulent information, or request that we knowingly build unlawful or deceptive functionality.
Suspension or Refusal of Service
We may pause or refuse work when reasonably necessary because of nonpayment, missing client requirements, abusive conduct, security concerns, unlawful requests, material breach of an agreement, or risks to our systems or third-party accounts. Any financial consequences are handled under the applicable project agreement and cancellation/refund policy.
Disclaimer of Warranties
Except for any express warranty stated in a signed project agreement, services and this website are provided on an “as is” and “as available” basis to the maximum extent permitted by law. We disclaim implied warranties to the extent they may lawfully be disclaimed.
Limitation of Liability
To the maximum extent permitted by applicable law, Your Website Made Simple will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost revenue, lost data, lost opportunities or business interruption arising from the website or services.
To the maximum extent permitted by applicable law, our aggregate liability arising from a specific paid project will not exceed the amount actually paid to us for that project during the period giving rise to the claim, unless a signed project agreement states a different limitation or applicable law requires otherwise.
Indemnification
To the extent permitted by law, client agrees to defend, indemnify and hold us harmless from third-party claims arising from client-provided content, client instructions, client products or services, infringement caused by materials supplied by client, or client use of the completed website in violation of law or the applicable project agreement.
Governing Terms and Disputes
The governing law, venue, dispute process and any required notice procedure for a paid project should be specified in the applicable project agreement. Nothing in these website terms removes rights that cannot legally be waived under applicable law.
Changes to These Terms
We may revise these Terms of Service from time to time. Changes apply prospectively from the date posted unless otherwise required by law. A signed project agreement remains governed by its own terms unless it is amended in writing.
